Proom LTD – Terms of Use

1) Who we are
These Terms of Use ("Terms") govern your access to and use of the websites at proom.ai and related applications, APIs, and services (collectively, the "Service") provided by PROOM LTD ("Proom", "we", "us", "our"), a private company limited by shares incorporated in England and Wales (Company No. 16358924) with registered office at 51 Balmore Street, London, N19 5DA, United Kingdom.

By creating an account, connecting social accounts, or otherwise using the Service, you agree to these Terms.
2) What we do
Proom is a creative platform that combines multiple AI services to help you generate video content with storytelling, actors/avatars, scripts, music, SFX/VFX, and voice‑over with lip‑sync, and then publish automatically to supported platforms (currently including Instagram, TikTok, YouTube, Pinterest, Threads, Facebook, and Bluesky) where available and permitted. We host our Service in the United States and may process your data there and in other countries.
3) Your account & eligibility
- Age.
- You must be 13+ to use the Service. If you're 13–17, you may only use the Service with a parent/guardian's consent and supervision.
- Business use.
- If you use the Service on behalf of an organisation, you represent you have authority to bind it to these Terms.
- Accurate info.
- Keep your account information current and secure. You're responsible for all activity under your account.
4) Third‑party services we rely on
To deliver the Service, we integrate or interoperate with third‑party providers (collectively, "Sub‑processors/Providers"), for example:
- AI/ML & hosting: OpenAI, Google Cloud Vertex AI, AWS, ElevenLabs, Hume, Fal.ai, Replicate
- Payments: Stripe (subscriptions, billing)
- Auth: Clerk
- Infrastructure: Upstash (Redis), Railway (hosting)
- Auto‑posting: Your connected social platforms (Instagram, TikTok, YouTube, Pinterest, Threads, Facebook, Bluesky)
You authorise us to transmit your prompts, inputs, assets, and metadata to these Providers as needed to operate the Service. Your use of certain features may also be subject to the providers' own terms, which you are responsible for reviewing and complying with. We don't control third‑party terms or changes to them.
5) Customer Content, Outputs & licences
Definitions.
- "Customer Content" means content you (or your collaborators) upload or provide: text, scripts, images, video, audio, voice samples, likeness, brand assets, data, prompts, account names, etc.
- "Outputs" means content generated or assembled by/through the Service from your instructions (e.g., videos, audio, images, scripts, metadata).
Ownership.
- You retain all rights you hold in Customer Content.
- As between you and us, you own the Outputs generated from your inputs, subject to: (i) any third‑party rights embedded in your inputs or requested in your prompts; (ii) any third‑party model or content licences that apply to specific features; and (iii) these Terms.
Your licence to us.
You grant Proom a worldwide, non‑exclusive, royalty‑free licence to host, process, adapt, transcode, transmit, display, and distribute Customer Content and Outputs solely to provide the Service to you and to operate, secure, troubleshoot, and improve the Service (including quality, safety, and abuse detection). We do not sell Customer Content. We do not use Customer Content to train our proprietary models unless you opt‑in; some Providers may use data for safety, abuse, or service improvement per their policies.
Your responsibility for rights.
You are solely responsible for ensuring you have all necessary permissions and lawful bases to upload Customer Content and to use people's voices, likenesses, names, or brands (including for ads). You must secure releases/consents where required and comply with platform policies and applicable law when distributing.
Our usage of Outputs.
We may display non‑confidential thumbnails or watermarked samples of your Outputs (e.g., in your workspace) and use aggregated, de‑identified analytics to improve the Service. We won't publicly use your brand assets for marketing without your permission (you may grant or revoke publicity consent via settings or by email).
6) Acceptable Use & synthetic media rules
You must not use the Service to:
- Infringe IP (copyright, trademarks, rights of publicity/privacy) or misappropriate trade secrets.
- Deepfake/impersonate real persons (voice or face) without permission or in a way that is deceptive, unlawful, or harms others. If synthetic/AI content must be labelled under law or platform policy, you must clearly disclose it (e.g., "AI‑generated").
- Generate or distribute content that is illegal, exploitative, sexually explicit (especially any sexual content involving minors), harassing, hateful, extremist, or that incites violence or self‑harm.
- Provide medical, legal, or financial advice purporting to be from a human professional, or otherwise use the Service for life‑critical or high‑risk purposes.
- Bypass platform rules, rate limits, DRM/watermarks, or circumvent safety systems.
- Spam or manipulate engagement (fake views/likes/follows), or run covert influence operations.
- Upload malware, attempt to reverse engineer, scrape at scale, interfere with the Service, or resell features without our written consent.
We may suspend or remove content or accounts that violate these Terms or the law.
7) Auto‑posting & connected accounts
- You can connect social accounts to auto‑publish Outputs. You authorise us to post on your behalf according to your settings.
- You are responsible for complying with each platform's terms, community guidelines, ad policies, disclosure rules, and rate limits.
- Posts can fail due to platform issues, API limits, content policies, outages, or changes outside our control. We are not responsible for downstream account actions taken by a platform (e.g., removals, strikes, demonetisation).
8) Plans, pricing, and payment (Stripe)
- Subscriptions.
- Paid plans auto‑renew monthly or annually until cancelled. You can cancel anytime in Billing; cancellation stops future renewals but does not refund the current term unless required by law.
- Trials/credits.
- Trials may convert to paid plans if not cancelled before the trial ends. Unused credits expire as described at purchase.
- Taxes & fees.
- Prices exclude taxes unless stated. You authorise Stripe to store your payment method and to charge recurring fees and any overages you incur.
- Chargebacks.
- You agree to contact support first; unfounded chargebacks may lead to account suspension.
9) Intellectual property & DMCA/UK notice
We (or our licensors) own the Service and all related IP (software, models, UX, templates), excluding Customer Content/Outputs.
Notice & takedown.
If you believe content on the Service infringes your rights, email legal@proom.ai with: (a) your contact details; (b) a description of the work; (c) the URL/locations; (d) a statement of good‑faith belief; and (e) a statement that the information is accurate and you are authorised to act. We process notices under UK copyright law and, given US hosting, we also honour DMCA‑style notices where appropriate.
10) Privacy & data protection
Our Privacy Policy explains how we process personal data under UK GDPR and the Data Protection Act 2018.
- International transfers.
- We may transfer personal data to the United States and other countries using appropriate safeguards (e.g., UK Addendum to the EU Standard Contractual Clauses) or another lawful transfer mechanism.
- Data processing addendum (DPA).
- If you are a business customer needing a DPA, contact privacy@proom.ai.
11) Beta, experimental & generative limitations
- Beta features may be unstable, change without notice, or be withdrawn.
- Generative AI has limitations: outputs may be inaccurate, biased, offensive, or incomplete. You should review and fact‑check before publishing or running ads. Proom does not guarantee any specific creative result, performance, or ROI.
12) Service availability
We aim for high availability but do not guarantee the Service will be uninterrupted or error‑free. Maintenance windows, provider outages, rate limits, or changes to third‑party APIs may impact features (including auto‑posting, lip‑sync, and voice models).
13) Indemnity
You agree to defend, indemnify, and hold harmless Proom and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your Customer Content or Outputs; (b) your use of the Service (including auto‑posting); (c) infringement or violation of law, platform rules, or third‑party rights; or (d) breach of these Terms.
14) Disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement. We do not warrant that Outputs will meet your requirements or that any content will be accurate or lawful in your jurisdiction.
15) Limitation of liability
To the extent permitted by law:
- Indirect damages excluded.
- We are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages (including lost profits, revenues, goodwill, data, or business interruption).
- Cap.
- Our aggregate liability arising out of or relating to the Service is limited to the amounts you paid to Proom for the Service in the 12 months before the event giving rise to liability.
- Non‑excludable liabilities.
- Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, or death/personal injury caused by negligence, or restricts your statutory rights under the Consumer Rights Act 2015 or other applicable law.
16) Suspension & termination
You may stop using the Service at any time. We may suspend or terminate your access (with or without notice) if: (a) you breach these Terms; (b) your use poses a risk to others or to the Service; (c) we are required to do so by law or a platform/provider; or (d) for repeated non‑payment. Upon termination, licences granted to us for Customer Content and Outputs survive only as needed for lawful compliance, dispute resolution, and backup retention for a limited period.
17) Changes to the Service or Terms
We may update the Service and these Terms from time to time. Material changes will be notified via the Service or email at least 30 days before they take effect (unless required sooner by law or security). Your continued use after the effective date constitutes acceptance.
18) Export & sanctions
You must comply with applicable export control and sanctions laws. You may not use the Service if you are located in, or are a person/entity targeted by, sanctions that apply to us or our Providers.
19) Confidentiality
Non‑public information that is identified as confidential or reasonably should be understood as confidential must be safeguarded and used only to exercise rights and perform obligations under these Terms.
20) Miscellaneous
- Governing law & venue.
- These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over disputes (except that either party may seek injunctive relief in any court of competent jurisdiction).
- No third‑party beneficiaries.
- The Contracts (Rights of Third Parties) Act 1999 does not apply to these Terms.
- Assignment.
- You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or asset transfer.
- Severability.
- If any provision is unenforceable, the remainder remains in effect.
- Entire agreement.
- These Terms (plus any order form, DPA, and policies referenced) are the entire agreement between you and Proom regarding the Service.
- Notices.
- We may provide notices via the Service, email, or your account. You may send legal notices to legal@proom.ai and the postal address listed above.
